1. Acceptance of Terms

By accessing, registering for, or using imtovid ("we", "us", "our", or "imtovid"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you and imtovid. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

imtovid provides an AI-powered platform that enables users to generate videos from text prompts and images. Our Services include, but are not limited to:

  • Text-to-Video Generation: Create videos from text descriptions
  • Image-to-Video Generation: Transform static images into dynamic videos
  • Video Customization: Adjust aspect ratios (16:9, 9:16, 1:1) and duration (5s, 10s)
  • Credit-Based System: Pay-as-you-go model with credit-based usage

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice.

3. User Accounts and Registration

3.1 Account Creation

To use our Services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibilities

  • You must provide accurate and truthful information during registration
  • You are solely responsible for all activities that occur under your account
  • You must immediately notify us of any unauthorized use of your account

4. Content Ownership and Intellectual Property

You own all videos, images, prompts, and other content you create or upload using our platform.

You retain all intellectual property rights to your original content and the videos generated from your content.

4.2 License to imtovid

By using our Services, you grant imtovid a limited, non-exclusive, worldwide license to:

  • Process your content solely for the purpose of providing the Services
  • Store your content temporarily as necessary to deliver the Services
  • Use anonymized, aggregated data to improve our Services

This license terminates when you delete your content or account, except for data we are required to retain by law.

4.3 Our Intellectual Property

All rights, title, and interest in and to the imtovid platform, including our technology, software, algorithms, user interface, documentation, and trademarks, remain the exclusive property of imtovid and our licensors.

5. Acceptable Use Policy

You agree not to use our Services to:

  1. Generate Illegal Content: Create content that violates any applicable laws or regulations
  2. Violate Rights: Infringe upon intellectual property, privacy, or other rights of third parties
  3. Harmful Content: Generate content that is defamatory, harassing, abusive, or harmful to others
  4. Reverse Engineering: Attempt to reverse engineer, decompile, or extract our proprietary technology
  5. Automated Abuse: Use automated systems, bots, or scripts to abuse or overload our Services
  6. Spam or Fraud: Use our Services for spam, phishing, or any fraudulent activities
  7. Security Violations: Attempt to breach, disrupt, or compromise the security of our platform

We reserve the right to review, remove, or refuse to generate any content that violates these Terms.

6. Credits, Payments, and Billing

6.1 Credit System

Our Services operate on a credit-based system. Credits are consumed when you generate videos. The number of credits required depends on the video duration and features used.

6.2 Credit Terms

  • Credits are non-refundable and non-transferable
  • Credits expire according to your subscription plan
  • Unused credits do not carry over to new billing cycles unless specified in your plan
  • We reserve the right to modify credit pricing with 30 days' notice

6.3 Payment Terms

  • Paid plans automatically renew at the end of each billing cycle
  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of the current billing period
  • Refunds are provided only as required by applicable law
  • Late or failed payments may result in service suspension until payment is resolved

6.4 Price Changes

We reserve the right to modify our pricing with 30 days' advance notice. Continued use of our Services after price changes constitutes acceptance of the new pricing.

7. Service Availability and Modifications

While we strive to maintain high availability, we do not guarantee uninterrupted or error-free service. We may:

  • Perform scheduled maintenance with reasonable advance notice
  • Modify or discontinue features or Services
  • Experience downtime due to technical issues, security concerns, or force majeure events

We are not liable for any losses resulting from service interruptions or modifications.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • Our total liability for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • We make no warranties, express or implied, regarding the accuracy, reliability, or availability of our Services

9. Indemnification

You agree to indemnify, defend, and hold harmless imtovid, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you create or upload using our Services

10. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Material changes will be communicated via:

  • Email notification to your registered email address
  • In-app notifications
  • Updates to this page with a revised "Effective Date"

Material changes will take effect at least 7 days after notification. Your continued use of our Services after the effective date constitutes acceptance of the updated Terms.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

11.2 Termination by Us

We may suspend or terminate your access to our Services immediately, without prior notice, if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay fees when due
  • Create security risks or abuse our Services

11.3 Effect of Termination

Upon termination:

  • Your right to use our Services immediately ceases
  • We may delete your account and content, subject to legal retention requirements
  • You remain responsible for all fees incurred prior to termination

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.
